Section 1
Introduction
Welcome to Nexrara ("Platform", "we", "us"). Nexrara is a B2B marketplace for specialty chemicals and related products, connecting buyers and sellers in the chemical industry.
By creating an account, browsing products, submitting inquiries, or using any of our services (including AI-powered features), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Platform.

Definitions
Platform
The Nexrara website, API, and all associated services
User
Any individual or entity accessing the Platform
Buyer
A registered user seeking to purchase or inquire about products
Seller
A registered user listing products for sale with a storefront
Storefront
A seller's public company profile page on the Platform
Inquiry
A quote request, sample request, document request, or general message sent to a seller
Products
Chemical substances, materials, and related items listed on the Platform
AI Features
Find Match, Product Advisor, document extraction, and related AI-powered services
Section 3
User Accounts & Obligations
3.1 Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3.2 Account Types
The Platform offers Buyer and Seller accounts. Sellers may create a storefront, list products, and respond to inquiries. Buyers may browse products, submit inquiries, and request samples or quotes.
3.3 Compliance
Users must comply with all applicable laws, regulations, and industry standards related to chemical products, including safety, transportation, handling, and export control requirements.
3.4 Prohibited Activities
- Providing false, misleading, or fraudulent information
- Creating multiple accounts to circumvent restrictions
- Scraping, crawling, or automated data extraction from the Platform
- Attempting to reverse-engineer, disrupt, or overload Platform systems
- Using the Platform for any illegal purpose or to list prohibited substances
- Sharing account credentials with unauthorized parties
Section 4
Marketplace & Product Listings
4.1 Product Accuracy
Sellers must ensure all product listings include accurate information including product specifications, CAS numbers, safety data, certifications, regulatory compliance, and packaging details. Nexrara reserves the right to remove listings that contain inaccurate or misleading information.
4.2 Transaction Facilitation
Nexrara facilitates connections between buyers and sellers but is not a party to any transaction. Pricing, payment, delivery, and fulfillment are negotiated directly between buyer and seller. Nexrara is not responsible for the quality, safety, or legality of products listed.
4.3 Storefronts
Seller storefronts display self-reported company information, certifications, and branding. Nexrara does not independently verify seller certifications or claims unless explicitly stated.
Section 5
Inquiries & Communications
The Platform provides inquiry tools for requesting quotes, samples, and technical documents. When you submit an inquiry:
- Your message, company name, phone number, and email are shared with the seller
- Email notifications are sent to both parties for new inquiries and responses
- Phone numbers are required for sample and quote requests to facilitate follow-up
- Inquiry history is retained and accessible to both the buyer and the seller involved
Nexrara does not monitor the content of communications between users but reserves the right to review inquiries for abuse prevention.

AI-Powered Features
The Platform provides AI-powered features including:
- Find Match — Upload product documents (TDS, SDS) to find matching products using AI extraction and semantic search
- Product Advisor — AI-powered assistant that answers questions about specific products
- Document Extraction — Automated extraction of product data from uploaded documents
Important Disclaimer
AI features are provided for informational purposes only and should not be relied upon for safety, regulatory, or procurement decisions. AI-generated content may contain inaccuracies. Always verify critical information with the seller and consult relevant safety data sheets.
Documents uploaded to AI features are processed by third-party AI providers (Anthropic, OpenAI) and are subject to their respective data processing terms. Nexrara does not store uploaded documents beyond the processing session.
Section 7
Intellectual Property
All Platform content, including text, graphics, logos, software, and design, is the property of Nexrara or its licensors and is protected by intellectual property laws.
Sellers retain ownership of their product data, images, and documents uploaded to the Platform. By listing products on Nexrara, sellers grant us a non-exclusive license to display and distribute their content on the Platform.
Automated scraping, crawling, or bulk downloading of Platform content is strictly prohibited.
Section 8
Limitation of Liability
Nexrara is provided "as is" and "as available." To the maximum extent permitted by law:
- We do not guarantee the accuracy of product listings, seller information, or AI-generated content
- We are not liable for any direct, indirect, incidental, special, or consequential damages arising from use of the Platform
- We are not responsible for transactions, product quality, delivery, or disputes between buyers and sellers
- We are not liable for any losses arising from unauthorized access to your account
Section 9
Termination
We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if required by law. You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately.
Section 10
Governing Law
These Terms are governed by the laws of the State of Texas, United States. Any disputes arising from these Terms or use of the Platform shall be resolved in the courts of Harris County, Texas.
Section 11
Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
